Terms of Service
These terms govern the provision of professional business and consulting services by Malwa Global Pty Ltd (ABN 74 703 170 370), trading through malwaglobal.online. By engaging our services or using this website, you agree to these terms.
1. About These Terms
Malwa Global Pty Ltd (ABN 74 703 170 370) provides business advisory, consulting, and related professional services to clients across Australia, operating from Melbourne VIC. These Terms of Service, together with any engagement letter or service agreement we issue, form the basis of our relationship with you.
2. Services
We provide professional business and consulting services, which may include business strategy, operational advisory, financial and administrative support, and related consulting engagements. The specific scope, deliverables, timelines, and fees for each engagement will be set out in a written proposal, engagement letter, or service agreement agreed between you and Malwa Global Pty Ltd before work commences.
3. Quotes and Engagements
Any quote or estimate provided by us is valid for 30 days unless otherwise stated, and is indicative until confirmed in writing. A formal engagement begins only when you accept a written proposal or engagement letter. Fees are payable in accordance with the payment terms set out in that document. Where applicable, GST will be added to quoted fees in accordance with Australian tax law.
4. Client Responsibilities
To enable us to deliver services effectively, you agree to provide accurate, complete, and timely information, respond to reasonable requests for input, and nominate an appropriate contact person for the engagement. We rely on information you provide; we are not responsible for delays or issues arising from incomplete, inaccurate, or late information.
5. Professional Advice
The advice and recommendations we provide are based on the information available at the time of the engagement and on your stated objectives. Our services do not constitute legal, audit, taxation registration, or licensed financial advice unless expressly agreed in writing. You should obtain independent specialist advice where appropriate before acting on our recommendations.
6. Fees and Payment
Invoices are payable within the period stated on the invoice (typically 14 days). Late payments may attract interest and reasonable recovery costs. If you dispute an invoice, please contact us promptly at ceo@malwaglobal.online so the matter can be resolved in good faith.
7. Intellectual Property
All pre-existing materials, methodologies, frameworks, templates, and know-how used or developed by Malwa Global Pty Ltd remain our intellectual property. Upon full payment of our fees, you receive a licence to use the deliverables prepared specifically for your engagement for your internal business purposes. You retain ownership of materials you provide to us.
8. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party in connection with an engagement, and to use it only for the purposes of the engagement. This obligation survives the completion of services, except where disclosure is required by law or the information becomes publicly available through no fault of the receiving party.
9. Privacy
We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth).
10. Limitation of Liability
To the maximum extent permitted by law, our liability arising out of or in connection with our services is limited to the fees you paid to us for the relevant engagement. We are not liable for indirect, incidental, or consequential losses, including loss of profits, revenue, or business opportunity. This clause does not limit any rights you have under the Australian Consumer Law.
11. Australian Consumer Law
Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you may have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), or any other applicable Australian legislation. Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including guarantees that services will be provided with due care and skill and be reasonably fit for purpose.
12. Suspension and Termination
Either party may terminate an engagement with written notice in accordance with the applicable engagement letter. If we suspend or terminate services because of non-payment or a material breach by you, we may charge reasonable costs incurred up to the date of termination.
13. Website Content
Content on this website is provided for general information only and does not constitute professional advice. We do not guarantee that the website will be uninterrupted or error-free, and we may update content at any time.
